This Long-Term Vehicle Rental Agreement (the “Agreement”) is entered into between SCICA Fleet Operations (“Company”) and the applicant identified in the information submitted with this Agreement (“Renter”), regarding the rental of the vehicle described below (the “Vehicle”) for use in connection with Renter's work as a driver for rideshare and/or delivery platforms (e.g., Uber, Lyft, DoorDash, Instacart, Amazon Flex, Walmart Spark, Roadie, Curri, Dropoff, and other approved rideshare/delivery platforms).


1. SCREENING & ELIGIBILITY

  • Renter's approval to rent a Vehicle is contingent upon successful completion of a driver's license status/motor vehicle record (MVR) check and verification of active rideshare/delivery platform standing and driver rating, pursuant to the separate Rental Applicant Screening Disclosure & Authorization signed by Renter prior to this Agreement.

  • Renter must maintain a valid, unrestricted driver's license and satisfactory driving record throughout the rental term. The Company may require a renewed MVR check periodically during a long-term rental.

  • Renter Representations: Renter represents and warrants that (a) Renter is at least 21 years of age; (b) Renter's driver's license is valid, current, and in good standing, with no active suspensions or revocations; and (c) all information provided in connection with this Agreement and the Screening Disclosure & Authorization is true, accurate, and complete. Renter's signature below confirm these representations.

  • Nothing in this Section obligates the Company to approve any application; approval remains at the Company's discretion consistent with the separate Screening Disclosure & Authorization and applicable law.


2. VEHICLE & TERM (Internal Use Only)

  • Vehicle: [Year/Make/Model], VIN [_________________________], License Plate [___________], Odometer reading at start of rental: [______] miles.

  • Rental Term: This Agreement begins on [_________] and continues on a [weekly/monthly] basis until terminated by either Party in accordance with Section 10.

  • This Agreement automatically renews for each successive rental period unless terminated as described below.


3. PERMITTED USE

  • The Vehicle may be used only by Renter, and only for lawful purposes, including personal use and use as a driver for rideshare and/or delivery platforms. The Vehicle may not be used to transport hazardous materials, illegal substances, firearms, or any cargo prohibited under applicable federal, state, or local law, or under the terms of any rideshare/delivery platform Renter uses.

  • Renter must maintain active, compliant driver status (valid license, platform eligibility, and any required rideshare/TNC insurance coverage as described in Section 6) throughout the rental term.

  • No subletting, sub-renting, or permitting any other person to drive the Vehicle without the Company's prior written consent. A violation of this provision is subject to an additional fee of $299, in addition to any other remedies available to the Company under this Agreement, including immediate termination under Section 10.

  • The Vehicle may not be taken outside New York, New Jersey, or Connecticut without the Company's prior written consent.


4. PAYMENT

  • Rental rate: $700 per week ($100/day), all-inclusive (insurance and maintenance covered by Company), due in advance on or before the first day of each rental period. All charges are billed weekly to the payment method on file.

  • Long-Term Rate: Renters committing to a rental term of 30 days or more receive a one-time $100 discount on their first week's rent, and pay the standard weekly rate thereafter with no additional fee.

  • Short-Term Fee: Renters whose rental term is less than 30 days are subject to an additional, one-time Short-Term Rental Fee of $99, charged on top of the applicable weekly rate(s). This fee reflects the added vehicle turnover, cleaning, and parking/holding cost of short-term rentals, and does not apply once a renter's term reaches or is extended to 30 days or more.

  • Payment method on file: Renter must maintain a valid credit or debit card on file for the duration of the rental term, to be charged automatically each week. Failure to maintain a valid payment method on file is treated the same as a missed payment under this Section.

  • Late payment: any payment more than 3 days late incurs a late fee of $25 and may result in immediate suspension of Renter's use of the Vehicle and/or termination under Section 10.

  • Returned/failed payment fee: $25 for any declined or reversed payment


5. MILEAGE

  • This rental includes up to 1,500 miles per week / 6,000 miles per month at no additional charge.

  • Miles driven in excess of this allowance are billed at $0.20–$0.25/mile, invoiced at the end of each rental period.

  • Unlimited Mileage Waiver: At the Company's discretion, the mileage allowance and overage fee above may be waived for Renters who (a) are renting under the Long-Term Rate (30 days or more), and (b) maintain active, verified status on two or more rideshare/delivery platforms consistent with the Screening Disclosure & Authorization. The Company may periodically reconfirm this status and may reinstate the standard mileage allowance if Renter no longer qualifies.

  • Renter agrees to report the Vehicle's odometer reading at the Company's request and at the end of each rental period.


6. INSURANCE

  • The Company will maintain commercial/livery insurance coverage on the Vehicle as required for its rental and rideshare/delivery use in New York. The Company will provide Renter with proof of insurance and coverage summary upon request.

  • Renter must comply with all requirements necessary to keep this coverage in force, including maintaining an active, compliant rideshare/delivery platform account and promptly reporting any accident, citation, or change in driving status.

  • Renter is responsible for the insurance deductible amount (up to $1,000) for any claim resulting from an accident occurring while Renter was operating the Vehicle, except where the accident is solely caused by another party and covered by that party's insurance.

  • Any liability, loss, or damage in excess of the Company's insurance coverage limits — including but not limited to amounts exceeding policy limits, claims denied due to Renter's violation of this Agreement or of any rideshare/delivery platform's terms, or losses arising from unauthorized or prohibited use — is solely Renter's financial responsibility.

  • Renter must notify the Company within 24 hours of any accident, citation, impound, or mechanical failure involving the Vehicle, regardless of fault or severity.

7. MAINTENANCE OBLIGATIONS

Given the high-mileage, commercial nature of this rental, Renter agrees to the following maintenance responsibilities:

  • Oil changes and other scheduled maintenance performed at the manufacturer-recommended intervals, at Company-approved service locations, with receipts provided to the Company within 7 days of service.

  • Tire pressure and tread checked monthly; Renter must promptly report any tire wear, warning lights, unusual noises, or performance issues to the Company.

  • Renter must not perform, or authorize any third party to perform, any modification, repair, or service to the Vehicle without the Company's prior written approval, except in a documented emergency.

  • The Company may require the Vehicle to be brought in for a maintenance/condition inspection with 48 hours' notice, no more than once per month, and Renter must make the Vehicle reasonably available for this purpose.

  • Failure to comply with the maintenance obligations in this Section constitutes a default under this Agreement. In addition to being financially responsible for any resulting repair cost, Renter may be subject to termination under Section 10 and any additional fees associated with restoring the Vehicle to proper condition.


8. CLEANLINESS & CONDITION

  • Renter agrees to keep the Vehicle's interior and exterior in a clean, sanitary, and odor-free condition at all times, consistent with rideshare/delivery platform passenger-facing standards.

  • No smoking, vaping, or transport of illegal substances in the Vehicle at any time.

  • Renter is responsible for a professional interior detail at least once every 60 days, with receipts provided to the Company, or the Company may arrange this service and deduct the cost from the security deposit or next payment.

  • At the end of the rental term, the Vehicle must be returned clean (interior and exterior) and in the same condition as received, normal wear and tear excepted. The Company may deduct reasonable cleaning or repair costs from the security deposit for any condition beyond normal wear and tear.

  • The Company may conduct a condition inspection with photographs at Vehicle handover and at Vehicle return; both Parties should retain copies.


9. PROHIBITED CONDUCT

  • Using the Vehicle for any illegal purpose, racing, towing, or any use inconsistent with normal rideshare/delivery driving.

  • Removing, disabling, or tampering with any GPS tracking, telematics, or safety equipment installed by the Company.

  • Allowing the Vehicle's registration, inspection, or insurance status to lapse due to Renter's failure to cooperate with required documentation or inspection.


10. TERMINATION & REPOSSESSION

  • Either Party may terminate this Agreement with 7 days' written notice for any reason.

  • The Company may terminate immediately and repossess the Vehicle, without advance notice, upon: non-payment beyond the late-payment cure period in Section 4; loss of Renter's driving privileges or platform eligibility; a violation of Section 9 (Prohibited Conduct); or evidence the Vehicle has been abandoned, is at risk of damage, or is being used unlawfully.

  • Upon termination, Renter must return the Vehicle to the Company's designated location within 24 hours, in the condition required under Section 8. Continued possession of the Vehicle after termination without the Company's consent may be treated as unauthorized use of the Company's property.

  • Renter is responsible for any additional fees, costs, or expenses incurred by the Company in connection with a default, termination, or repossession under this Section, including but not limited to vehicle retrieval, storage, towing, and administrative processing costs.


11. LIABILITY & INDEMNIFICATION

  • Renter agrees to indemnify and hold the Company harmless from any claim, fine, citation, or liability arising from Renter's use of the Vehicle, except to the extent caused by the Company's negligence or a pre-existing mechanical defect the Company failed to disclose or address. This Agreement does not make the Company liable for Renter's lost income, missed driving opportunities, or platform deactivation for any reason outside the Company's direct control (e.g., a mechanical issue arising from Renter's failure to report a known problem).


12. GENERAL PROVISIONS

  • Entire Agreement: This Agreement, together with any signed vehicle condition report, constitutes the entire agreement between the Parties regarding the Vehicle's rental.

  • Amendment: This Agreement may be amended only in writing, signed by both Parties.

  • Governing Law: This Agreement is governed by the laws of the State of New York. Any dispute will be resolved in the state or federal courts located in Nassau/Suffolk County, New York.

  • Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.


IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
